Board of Directors and Corporate Performance: a Study of Chinese Companies

Abstract

Во множестве исследований поднимается вопрос наличия взаимосвязи между составом совета директоров и показателями эффективности компании. Результаты исследований сильно варьируются в зависимости от институционального контекста страны, степени развития корпоративного управления и выбора показателей, характеризующих эффективность компании. Специфика становления институтов корпоративного управления в КНР может оказывать существенное влияние на эффективность компаний. Цель данной работы заключается в выявлении взаимосвязи между структурой совета директоров и показателями эффективности деятельности компаний. Для ее достижения был проведён обзор существующих исследований по теме как на китайском рынке, так и на мировом. Благодаря этому стало возможно формулирование гипотез данного исследования и построение регрессионных моделей для тестирования гипотез. В результате исследования была обнаружена взаимосвязь между составом совета директоров и эффективностью компании, а также были сформулированы практические рекомендации для компаний КНР.

A number of studies raise the question of whether there is a relationship between the composition of the board of directors and the company's performance indicators. The results of the research vary greatly depending on the institutional context of the country, the degree of development of corporate governance and the choice of indicators characterizing the performance of the company. The specifics of the formation of corporate governance institutions in China can have a significant impact on the performance of companies. The purpose of this work is to identify the relationship between the structure of the board of directors and the performance of companies. To achieve it, a review of existing research on the topic was conducted both on the Chinese market and on the world market. Thus, it became possible to formulate hypotheses of this study and build regression models for testing hypotheses. As a result of the study, the relationship between the composition of the board of directors and the effectiveness of the company was discovered, and practical recommendations were formulated for Chinese companies.
