The Relationship Between the System of Corporate Governance, the Level of Financial Distress and the Level of Earnings Management in Russian Companies

Abstract

Тема выпускной квалификационной работы: «Взаимосвязь системы корпоративного управления, уровня финансовой устойчивости и манипулирования прибылью в российских компаниях». Настоящая выпускная квалификационная работа реализована в формате эмпирического исследования. Цель настоящей работы - определить взаимосвязь между уровнем манипулирования прибылью и характеристиками совета директоров, дивидендной политики и уровнем финансовой устойчивости в российских публичных компаниях. Актуальность данной работы определяется остротой рассматриваемой проблемы, небольшим числом работ, посвященных исследованию данной проблематики на российском рынке, вектором развития российского рынка, направленным на повышение прозрачности, а также глобальной ESG-повесткой в менеджменте. В рамках ВКР были сформулированы гипотезы исследования на основе пула релевантных драйверов манипулирования прибылью; затем сформулированные гипотезы были проверены в рамках эмпирического исследования, заключавшегося в сборе и первичной обработке данных о деятельности российских компаний на временном промежутке с 2008 по 2019 год, являющихся объектом исследования, а также в проведении эконометрического моделирования по панельным данным для выявления исследуемых закономерностей и формулировки соответствующих практических выводов. По итогам исследования был выявлен ряд специфичных для российского рынка взаимосвязей. Так, среди прочего, был обнаружен обратный характер связи между уровнем манипулирования прибылью и размером совета директоров, наличием в его составе комитета по аудиту, долями независимых директоров и женщин-директоров в составе совета, а также прямой характер связи между уровнем манипулирования прибылью и долей исполнительных директоров в составе совета. Кроме того, была выявлена прямая связь между выплатой дивидендов и уровнем манипулирования прибылью. Наконец, на российском рынке впервые была проанализирована связь между уровнем манипулирования прибылью и уровнем финансовой устойчивости, также оказавшаяся прямой. Результаты данной работы могут быть полезны как для академической деятельности с точки зрения понимания работы драйверов манипулирования прибылью, так и для реализации прикладных целей, связанных с идентификацией показателей уровня манипулирования прибылью, полезных внутренним и внешним стейкхолдерам российских компаний для принятия управленческих, инвестиционных и финансовых решений.

The topic of this final thesis is "The Relationship Between the System of Corporate Governance, the Level of Financial Distress and the Level of Earnings Management in Russian Companies". This thesis is realized in the format of the empirical research. The purpose of this study is to determine the relationship between the level of earnings management and the characteristics of the Board of Directors, the dividend policy, and the level of financial distress in Russian public companies. The relevance of this work is determined by the severity of the problem under consideration, a small number of works devoted to the study of this problem in the Russian market, the vector of development of the Russian market aimed at increasing transparency, as well as the global ESG agenda in management. Within the framework of this thesis, research hypotheses were formulated based on a pool of relevant earnings management drivers; the formulated hypotheses were then tested within the empirical study, which consisted of collecting and processing data on the business of Russian companies, which are the object of this study, in the time span from 2008 to 2019, as well as of conducting econometric modeling on panel data to identify the patterns and formulate the relevant practical conclusions. According to the results of the study, several relationships specific to the Russian market were identified. Thus, among other things, the relationships between the level of earnings management and the size of the Board of Directors, the presence of an audit committee in it, the shares of independent directors and female directors on the Board were found to be inverse, while the relationship between the level of earnings management and the share of executive directors on the Board was found to be direct. In addition to this, a direct relationship between the payment of dividends and the level of earnings management was revealed. Finally, for the first time in the Russian market, the relationship between the level of earnings management and the level of financial distress was analyzed and turned out to be direct. The results of this thesis can be useful both for academic purposes in terms of understanding the drivers of earnings management and for practical tasks related to the identification of earnings management level indicators useful to internal and external stakeholders of Russian companies for making managerial, investment and financial decisions.
