Shareholder activism and capital structure of the company: relationship analysis

Abstract

В связи с тем, что изучению взаимосвязи акционерного активизма и результативности компаний посвящено уже огромное множество работ, исследователей начинают интересовать новые аспекты данной сферы, а именно взаимосвязь акционерного активизма с характеристиками организаций, на которые инвесторы обращают внимание при активном инвестировании. Таким образом, цель данного исследования заключается в том, чтобы установить взаимосвязь между проявлением стратегии акционерного активизма и структуры капитала компании. Для достижения данной цели были сформулированы и решены следующие задачи: 1. Проанализировать и представить обзор исследований, посвященных структуре капитала компании и вопросу её оптимальности; 2. Ввести понятие акционерного активизма и представить обзор современной научной литературы, посвященной данной теме; 3. Определить категорию рассматриваемых в работе институциональных инвесторов и проанализировать их деятельность; 4. Провести эмпирическое исследование, направленное на выявление взаимосвязи между структурой капитала компании и стратегией акционерного активизма и обосновать спецификацию эконометрической модели; 5. Проанализировать результаты эмпирического исследования и сделать соответствующие выводы и на их основе дать рекомендации. Результаты исследования показывают, что объектами стратегии акционерного активизма хедж-фондов становятся такие таргетируемые компании, в которых текущая структура капитала превышает целевую. Более того, эмпирическое исследование показало, что в случаях, когда текущее соотношение заёмных средств и всего капитала таргетируемых компаний превышает целевое, имеет место быть прямая взаимосвязь между вероятностью проведения активисткой кампании хедж-фондами и абсолютным значением отклонения текущего финансового рычага от целевого. Если же текущий финансовый рычаг таргетируемых компаний ниже целевого имеет место обратная взаимосвязь между проявлением акционерного активизма хедж-фондами и абсолютным значением отклонения текущего финансового левереджа от целевого. Исходя из анализа результатов эмпирического исследования, были сделаны практические рекомендации как для хедж-фондов, так и для таргетируемых компаний. Так, менеджмент сможет осуществлять проактивные действия в том случае, если имеют место быть опасения стать целью активистов, а хедж-фонды могут определять наиболее привлекательные цели для реализации различных стратегий.

Due to the fact that a huge amount of academic works has already been devoted to studying the relationship between shareholder activism and the performance of target companies, researchers are beginning to be interested in new aspects of this area, namely, the relationship of shareholder activism with the characteristics of organizations that investors pay attention to when investing actively. Thus, the purpose of this study is to establish the relationship between the shareholder activism strategy and the capital structure of the company. To achieve this goal, the following tasks were formulated and solved: 1. To analyze and present a review of studies on the structure of the company's capital and the question of its optimality; 2. Introduce the concept of shareholder activism and provide an overview of modern scientific literature on this topic; 3. Determine the category of institutional investors considered in the work and analyze their activities; 4. Conduct an empirical study aimed at identifying the relationship between the capital structure of the company and the shareholder activism strategy and substantiate the specification of the econometric model; 5. To analyze the results of an empirical study and draw appropriate conclusions and make recommendations based on them. The results of the study show that the targeted companies in which the current capital structure exceeds the target are the objects of the strategy of joint activity of hedge funds. Moreover, an empirical study showed that in cases where the current ratio of leverage of targeted companies exceeds the target level, there is a direct relationship between the probability of activism campaign of hedge funds and the absolute value of the deviation of the current financial leverage from the target one. If the current financial leverage of the targeted companies is below the target, there is an inverse relationship between the activism of hedge funds and the absolute value of the deviation of the current financial leverage from the target. Based on an analysis of the results of an empirical study, practical recommendations were made for both hedge funds and target companies. Thus, management will be able to carry out proactive actions in the case if there are fears of becoming the goal of activists, and hedge funds may determine the most attractive targets for implementing various strategies.
