Abstract

САНКТ-ПЕТЕРБУРГСКИЙ ГОСУДАРСТВЕННЫЙ УНИВЕРСИТЕТ КАФЕДРА КОММЕРЧЕСКОГО ПРАВА АННОТАЦИЯ Выпускная квалификационная работа: Студента магистратуры По программе «проблемы предпринимательского права» ФИО Медведева Виктория Александровна Тема: «Проблемы правового регулирования договора коммерческой концессии в российской федерации» Целью работы является выявление проблем, возникающих при применении коммерческой концессии в практике ведения предпринимательской деятельности, а также ее соотношение с правовой природой франчайзинга. Выявление сходств и различий со смежными институтами, а также разработка возможных путей решения и снятия возникающих разногласий. Задачами являются рассмотрение исторического развития отношений, связанных с коммерческой концессией, многообразия теоретико-правовых подходов к понятию коммерческой концессии, правовой анализ отношений, сходных с отношениями, возникающими из договора коммерческой концессии. Определение и уточнение предмета и субъектов договора, содержание, порядок заключения, изменения и расторжения договора коммерческой концессии. Выводы, сделанные по результатам исследования: в ходе этой работы были выявлены проблемы, связанные с применением договора коммерческой концессии и предложены пути их решения. Необходимо дополнить нормы главы 54 ГК РФ, т.к. нормы, применяемые к договору коммерческой концессии, могут не совпадать с национальным правом другого государства или с международными соглашениями. Также необходимо исключить положения о применении норм лицензионного договора к отношениям, возникающим из договора коммерческой концессии, т.к. данные договоры регулируют разные правоотношения. Предлагается также введение государственной регистрации не для всех договоров, а только для тех, по которым предоставляется право на использование объектов, сделки с которыми подлежат обязательной регистрации. Также необходимо внести изменения в законодательство Российской Федерации об условиях раскрытия информации на преддоговорном этапе. Принятие вышеперечисленных изменений направлено на разрешение существующих проблем в практике применения договора коммерческой концессии, а также на упрощение его заключения и исполнения, что соответствует интересам сторон и направлено на увеличение числа заключенных договоров коммерческой концессии и развития института в целом.

It is necessary to supplement the norms of Chapter 54 of the Civil Code of the Russian Federation, the rules applied to the contract of commercial concession may not coincide with the national law of another state or with international agreements. It is also necessary to exclude the provisions on the application of the norms of the license agreement to the relations arising from the contract of commercial concession, these treaties regulate various legal relationships. It is also proposed to introduce state registration not for all contracts, but only for those for which the right to use facilities, transactions with which are subject to compulsory registration, is granted. It is also necessary to amend the legislation of the Russian Federation on the conditions for disclosure of information at the pre-contract stage. The adoption of the above changes is aimed at resolving existing problems in the practice of applying the commercial concession agreement, as well as simplifying its conclusion and execution, which is in the interests of the parties and is aimed at increasing the number of concluded commercial concession contracts and the development of the institution as a whole.
