«Special circumstances» in public-private partnership projects

Abstract

Настоящая выпускная квалификационная работа посвящена анализу института особых обстоятельств, а также возможности применения указанного института в концессионных соглашениях и соглашениях о государственно-частном партнерстве. Автор работы анализирует риски, связанные с неприменением судом ст. 406.1 ГК РФ в отношении концессионных соглашений и соглашений о ГЧП и отдельные особенности правоприменительной практики, учитывая факт, что речь идёт в указанной статье об участниках предпринимательской деятельности. В работе исследуются виды особых обстоятельств и анализируются вопросы субъектного состава и разграничения института возмещения потерь от похожих гражданско-правовых институтов. На сегодняшний день институт особых обстоятельств – это активно используемый на практике механизм, который играет существенную роль в распределении рисков концессионного и ГЧП проектов, а также в защите интересов концессионера в условиях экономических изменений и нестабильности. Автор работы приходит к выводу о возможности применения института особых обстоятельств сторонами концессионного соглашения в российской практике посредством корректного формулирования в тексте соглашения последствий наступления особых обстоятельств.

This final qualification work is devoted to the analysis of the institution of special circumstances, as well as the possibility of using this institution in concession agreements and public-private partnership agreements. The author of the work analyzes the risks associated with the non-application of Art. 406.1 of the Civil Code of the Russian Federation in relation to concession agreements and PPP agreements and certain features of law enforcement practice, given the fact that this article refers to participants in entrepreneurial activity. The paper examines the types of special circumstances and analyzes the issues of the subject composition and differentiation of the institution of compensation for losses from similar civil law institutions. Today, the institution of special circumstances is a mechanism actively used in practice, which plays a significant role in the distribution of risks of concession and PPP projects, as well as in protecting the interests of the concessionaire in the face of economic changes and instability. The author of the work comes to the conclusion that it is possible to use the institute of special circumstances by the parties to the concession agreement in Russian practice by correctly formulating the consequences of the occurrence of special circumstances in the text of the agreement.
