Features and prospects of application in the Russian Federation of the doctrine of "removing the corporate veil"

Abstract

Цель и задачи исследования:

Целью исследования является анализ действующего законодательства, регулирующего особенности применения доктрины «снятия корпоративной вуали». Для реализации указанной цели необходимо разрешить следующие задачи: - раскрыть природу и сущность института проникающей ответственности или «снятия корпоративной вуали»; - изучить функциональное обоснование использования данного института в корпоративном праве; - рассмотреть контролирующее лицо как субъект ответственности; - исследовать основание и условия привлечения к ответственности контролирующего лица; - провести анализ актуальной судебной практики по снятию корпоративной вуали; - предложить пути совершенствования института проникающей ответственности или «снятия корпоративной вуали».

Выводы, сделанные по результатам исследования: 1. Доктрина «снятия корпоративной вуали» должна быть использована только в тех ситуациях, где ответственные лица совершили противоправное действие, причем это распространяется на определенные случаи, к которым можно причислить: прекращение деятельности организации, если кредиторы терпят убытки, что явилось результатом действий аффилированных лиц. 2. Правовым основанием применения доктрины "снятия корпоративной вуали" в рамках действующего гражданского законодательства должна служить ст. 10 ГК РФ, запрещающая злоупотребление правом. Данная статья применяется в ситуации, когда имеет место злоупотребление правом и при этом отсутствует специальная норма гражданского законодательства, регламентирующая данное правоотношение. 3. Требуется увязка этого инструмента с устоявшимися конструкциями российского права, с обязательным соотнесением с общеправовыми и отраслевыми принципами права, поскольку все-таки она позиционируется как дополнительный юридический инструмент. Кроме того, учитывая очевидное заимствование этого инструмента из несвойственной для России англосаксонской правовой семьи, требуется четкое определение понятийного аппарата. 4. Заимствование англо-американского опыта применения доктрины, безусловно, несет в себе риск подрыва основ нашего корпоративного права. В то же время в последние годы излишняя категоричность сменяется аккуратной рецепцией зарубежного опыта в систему действующего российского законодательства, с необходимыми поправками на российскую правовую терминологию и практику делового оборота.

Purpose and objectives of the study: The purpose of the study is to analyze the current legislation that regulates the specifics of the application of the "removing the corporate veil" doctrine.

To achieve this goal, it is necessary to solve the following tasks: - reveal the nature and essence of the institution of penetrating responsibility or "removal of the corporate veil"; - to study the functional rationale for the use of this institution in corporate law; - consider the controlling person as the subject of liability; - investigate the grounds and conditions for holding the controlling person liable; - to analyze the current judicial practice on the removal of the corporate veil; - suggest ways to improve the institution of penetrating responsibility or "removal of the corporate veil".

Conclusions drawn from the results of the study:

1. The doctrine of "removing the corporate veil" should only be used in situations where the responsible persons have committed an illegal act, and this applies to certain cases, which can be counted: termination of the organization's activities if creditors suffer losses, which was the result of the actions of affiliated persons . 2. Art. 10 of the Civil Code of the Russian Federation, which prohibits the abuse of the right. This article is applied in a situation where there is an abuse of the right and there is no special norm of civil law regulating this legal relationship. 3. It is required to link this instrument with the established structures of Russian law, with the obligatory correlation with general legal and sectoral principles of law, since, nevertheless, it is positioned as an additional legal instrument. In addition, given the obvious borrowing of this instrument from the Anglo-Saxon legal family, which is unusual for Russia, a clear definition of the conceptual apparatus is required. 4. Borrowing the Anglo-American experience in the application of the doctrine, of course, carries the risk of undermining the foundations of our corporate law. At the same time, in recent years, excessive categoricalness has been replaced by an accurate reception of foreign experience into the system of current Russian legislation, with the necessary amendments to Russian legal terminology and business practice.
