Mergers and acquisitions as a form of business integration

Abstract

Данная работа посвящена микро- и макроэкономическому анализу интеграционных процессов. На микроуровне слияния и поглощения рассматриваются как один из инструментов роста компании; на макроуровне в исследовании выявляются и анализируются факторы активности российского и мирового интеграционного рынков. Также затронута роль цифровизации экономики в трансформации рынка слияний и поглощений. Объект исследования: интеграционные процессы в современной экономике. Предмет исследования: «мягкие» и «жёсткие» формы интеграций компаний и факторы активности рынка слияний и поглощений. Методология. Помимо анализа и синтеза информации, эмпирическую сторону исследование представляют измерение и анализ взаимосвязей между макроэкономическими метриками и активностью рынка слияний и поглощений. Результаты и выводы. Несмотря на распространение «мягких» форм интеграции бизнеса (преимуществами которых являются сравнительно небольшие затраты времени, управленческих и финансовых ресурсов), слияния и поглощения остаются востребованным инструментом стратегии развития бизнеса, так как позволяют конкретно определить права собственности и минимизировать риски (особенно касательно доступа к нематериальным активам). Макроэкономический анализ показывает, что объём рынка и количество сделок на мировом рынке взаимосвязаны с объёмом ВВП. На российском рынке: отрицательная взаимосвязь между объёмом ВВП на душу населения и средним размером сделки свидетельствует о том, что с ростом уровня экономического развития страны отечественный интеграционный рынок стремится к росту эффективности. Также было выявлено, что ожидания инвесторов относительно макроэкономической ситуации, выраженные в изменении доходности облигаций федерального займа, влияют на активность интеграционного рынка.

This research is devoted to micro- and macroeconomic analysis of integration processes. At the micro level, mergers and acquisitions are considered as one of the company's growth tools; at the macro level, the study identifies and analyzes factors of activity in the Russian and global integration markets. The role of digitalization of the economy in the transformation of the mergers and acquisitions market was also touched upon. Object of research: integration processes in the modern economy. Subject of research: "soft" and "hard" forms of company integrations and factors of mergers and acquisitions market activity. Methodology. In addition to the analysis and synthesis of information, the empirical side of the study is the measurement and analysis of the relationship between macroeconomic metrics and the activity of the mergers and acquisitions market. Results and conclusions. Despite the spread of "soft" forms of business integration (the advantages of which are relatively small expenditures of time, management and financial resources), mergers and acquisitions remain a popular tool for business development strategy, as they allow you to specifically define ownership rights and minimize risks (especially in terms of access to intangible assets). Macroeconomic analysis shows that the volume of the market and the number of transactions on the world market are interrelated with the volume of GDP. In the Russian market: the negative relationship between the volume of GDP per capita and the average transaction size indicates that with the growth of the level of economic development of the country, the domestic integration market tends to increase efficiency. It was also found that investors' expectations regarding the macroeconomic situation, expressed in changes in the yield of Federal loan bonds, affect the activity of the integration market.
