Abstract
САНКТ-ПЕТЕРБУРГСКИЙ ГОСУДАРСТВЕННЫЙ УНИВЕРСИТЕТ КАФЕДРА КОММЕРЧЕСКОГО ПРАВА АННОТАЦИЯ магистерской диссертации студента магистратуры по программе «Предпринимательское право» (профиль «Энергетическое право») ФИО Дудин Илья Дмитриевич Тема диссертации «Правовое регулирование отношений государственно-частного партнерства в сфере энергетики». Цели и задачи исследования: - формулирование понятия ГЧП и выделение форм соглашений в области ГЧП с учетом законодательства, практики (как судебной, так и практики заключения различных соглашений в области ГЧП), доктрины и зарубежного опыта; - определение правовой природы различных соглашений в области ГЧП и круга правовых актов, регулирующих отношения сторон таких соглашений; - выявление специфических особенностей ГЧП в энергетике, отличающих его от ГЧП в иных отраслях, анализ обусловленных этими особенностями проблем; - формулирование рекомендаций, направленных на разрешение выявленных проблем в правовом регулировании и (или) практике. Выводы, сделанные по результатам исследования: 1. Подход законодателя, признающий соглашение о государственно-частном партнерстве самостоятельной договорной формой, регулируемой отдельным федеральным законом, не способствует системности регулирования и заслуживает критики. Понятие государственно-частного партнерства должно являться собирательным и включать в себя концессионное соглашение, соглашение о разделе продукции и иные формы. 2. Соглашение о государственно-частном партнерстве, концессионное соглашение и соглашение о разделе продукции являются самостоятельными договорными типами, имеющими гражданско-правовую природу, а не смешанными и (или) частно-публичными договорами. 3. Особый режим регулирования, предусмотренный законодателем для концессионных соглашений в сфере коммунальной инфраструктуры, следует распространить на другие объекты энергетики, при эксплуатации которых осуществляется деятельность по регулируемым тарифам, а также на соглашения о государственно-частном партнерстве в сфере энергетики, включающие в качестве элемента эксплуатацию объекта энергетики. Кроме того, данный режим нуждается в корректировке в части возможности передачи концессионеру недвижимого имущества, права на которое не зарегистрированы. 4. Общие правила законодательства о государственно-частном партнерстве следует подвергнуть изменению в целях обеспечения исполнения публичным партнером денежных обязательств по соглашению, а также компенсации расходов разработчика проекта соглашения в рамках частной инициативы при заключении соглашения с другим лицом. В целом вектор развития законодательства о государственно-частном партнерстве в сфере энергетики должен быть направлен на повышение привлекательности соглашений для инвесторов, так как энергетическая инфраструктура России нуждается в модернизации, в том числе, за счет частных средств.

Purpose and aims of analysis: - formulation of PPP concept and specification of contractual forms in the PPP sphere taking into account the legislation, practice (both court practice and practice of conclusion of different agreements in the PPP sphere), theory and foreign experience; - definition of legal nature of different agreements in the PPP sphere and identification of legal acts governing the relationships between parties to such agreements; - determination of specific features of the PPP in energy sector distinguishing it from the PPP in other sectors, analysis of problems conditioned by these features; - formulation of recommendations aimed to solve identified problems in legal regulation and (or) practice. Conclusions made as a result of the analysis: 1. Approach of the legislator which considers an agreement on public-private partnership as the specific contractual form governed by the particular federal law discourages the consistency of legal regulation and is worth criticism. The concept of the PPP shall be collective and shall include a concession agreement, a product sharing agreement and other forms. 2. An agreement of PPP, a concession agreement and a product sharing agreement are independent contractual forms of a civil law nature rather than mixed agreements and (or) private-public agreements. 3. Specific regulatory regime stipulated by the legislator for concession agreements in utility infrastructure sector should be extended to other energy facilities during operation of which the activity on regulated tariffs is being carried out, and to agreements on public-private partnership agreements in energy sector including operating energy facility as the element. In addition, this regime needs modification in part of permissibility of real estate objects transfer rights of which are not registered to concessionary. 4. General rules of legislation on the public-private partnership should be amended in the purpose of ensuring performance of public partner’s monetary obligations under an agreement as well as ensuring compensation of a draft agreement developer’s expenses in case of conclusion of an agreement with other entity. In total, vector of development of the legislation on the public-private partnership in energy sector shall be oriented to attractiveness increase of agreements for investors since the energy infrastructure of Russia needs modernization, including, but not limited to, at the cost of private funds.
